The Associate General Counsel, Contracts provides leadership on legal matters relating to contracts. Reporting to the General Counsel, this attorney will have a multi-faceted role working cross-functionally with Senior Leadership. The Associate General Counsel, Contracts will be responsible for the review, drafting and negotiation of commercial agreements across a diverse set of arrangements and supervise the work of others as a direct manager and act as a resource to others in the Legal & Compliance Department. This attorney will play a key role in continuous improvement efforts to streamline legal services, adopt new tools and processes, and prioritize business demands.

Responsibilities

  • Manage, lead, and develop a team dedicated to contracting matters in the Legal and Compliance department;
  • Draft and negotiate commercial and vendor contracts, in partnership with business clients and cross-functional stakeholders;
  • Actively participate in leadership of the Legal and Compliance Department as a member of the Department’s senior leadership team;
  • Provide leadership in process improvement and transformation efforts relating to the contracting process, including but not limited to standardizing contracts;
  • Manage workload and delegate certain matters to other team members as appropriate for the needs of the business;
  • Other duties, as assigned by the General Counsel;

  • Adhere to all confidentiality and HIPAA requirements as outlined within Inovalon’s Operating Policies and Procedures in all ways and at all times with respect to any aspect of the data handled or services rendered in the undertaking of the position;
  • Fulfill those responsibilities and/or duties that may be reasonably provided by Inovalon for the purpose of achieving operational and financial success of the Company;

Qualifications

  • 12+ years of relevant legal experience;
  • J.D. from an accredited law school;
  • Must be a member in good standing of a state bar;
  • Expert level contract drafting and negotiation skills;
  • People management experience;
  • One of the following required, both preferred: (1) experience in technology, software, or similar areas; and (2) experience in healthcare context;
  • Urgency and results focus to ensure timely and appropriate response to issues raised;
  • Strong business judgment and acumen;
  • Strong organizational, time management, project management skills with proven ability to delegate, prioritize, multi-task and manage in a fast-paced setting;
  • Ability and willingness to take initiative to address problems and make continuous process improvements while meeting deadlines;
  • Strong interpersonal skills, effective listening, appropriate use of style and language for the audience and ability to work with all levels of employees and management.
